1. INTRODUCTION

These Terms of Use (“Terms”) govern your access to and use of the ViTA services available at:

(together, the “Platform” or “ViTA”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. OPERATOR

The Platform is operated by:

3. DESCRIPTION OF THE PLATFORM

ViTA is a digital platform designed to support speech and language therapy, including:

  • creating and managing therapy interventions
  • supporting patients with aphasia or related conditions
  • tracking progress and performance.

The Platform is intended for use by therapists and patients, in some cases with support from caregivers or assistants.

4. USER ROLES

The Platform supports the following user roles:

  • Therapists – professionals who create and manage therapy interventions and patient data
  • Patients – individuals receiving therapy support.

Therapists may invite, manage, and supervise patient accounts.

Patients under the age of 16 may only be registered by a therapist, and only where appropriate parental or guardian consent has been obtained.

Therapists are responsible for obtaining and maintaining such consent.

5. MEDICAL DISCLAIMER

The Platform is intended to support therapy processes but does not replace professional medical advice, diagnosis, or treatment.

  • Therapists are solely responsible for clinical decisions and treatment plans
  • Patients should consult qualified healthcare professionals for medical advice
  • Harmonic Advance LLC does not provide medical services.

Use of the Platform is at your own risk.

6. ACCOUNT REGISTRATION AND SECURITY

  • Therapist accounts are created by a Platform administrator
  • Patient accounts are created and managed by therapists

All users agree to:

  • provide accurate, current, and complete information
  • keep login credentials secure and confidential
  • notify us immediately of any unauthorised access at team@aphasia-vita.com.

You are responsible for all activities conducted through your account.

7. ACCEPTABLE USE

You agree to use the Platform only in accordance with applicable laws and these Terms.

You must not:

  • use the Platform for unlawful, harmful, or abusive purposes
  • attempt to gain unauthorised access to systems or data
  • interfere with the Platform’s operation, security, or integrity
  • upload or share content that is unlawful, misleading, or infringes third-party rights.

We reserve the right to monitor compliance and take appropriate action in case of violations.

8. RESPONSIBILITY FOR DATA

  • Therapists are responsible for the accuracy, legality, and appropriateness of patient data they input
  • Users must ensure they have a valid legal basis (such as consent) to provide personal data.

In relation to patient personal data, therapists act as data controllers and Harmonic Advance LLC acts as a data processor, unless stated otherwise in a separate agreement.

All personal data processing is governed by the Privacy Policy.

9. INTELLECTUAL PROPERTY

All content, software, and materials on the Platform are owned by or licensed to Harmonic Advance LLC.

You may not, without prior written permission:

  • copy, modify, distribute, or create derivative works
  • reverse engineer or attempt to extract source code
  • use any part of the Platform for commercial purposes.

10. USER CONTENT

10.1 Public Interventions

Public interventions are accessible to other users of the Platform.

By making content public, therapists grant Harmonic Advance LLC a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, adapt, display, and make such content available within the Platform, including after the therapist ceases to use the Platform.

Public interventions may remain available to other users after account termination.

Important: Public interventions must not contain personal or health data. Therapists are responsible for ensuring compliance with this requirement.

10.2 Private Interventions

Private interventions are accessible only to the therapist and their assigned patients.

They may be deleted or become inaccessible after the therapist ceases to use the Platform.

10.3 Responsibility for Content

Therapists are responsible for ensuring they have all necessary rights to upload and share content on the Platform.

11. PLATFORM AVAILABILITY

We aim to provide continuous access to the Platform but do not guarantee uninterrupted or error-free availability.

We may:

  • modify or update the Platform
  • suspend or restrict access for maintenance, security, or operational reasons.

We do not guarantee the continued availability of any specific feature or functionality.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Platform is provided “as is” and “as available”
  • We do not guarantee that it will be uninterrupted, secure, or error-free.

Harmonic Advance LLC is not liable for:

  • indirect, incidental, or consequential damages
  • loss of data, profits, or business opportunities.

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • any liability that cannot be excluded under applicable law.

Consumers in the European Union and other jurisdictions retain any mandatory rights under their local laws.

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose, non-infringement, and availability.

13. TERMINATION

We may suspend or terminate access to the Platform if:

  • you violate these Terms
  • required by law
  • necessary for security or operational reasons.

You may stop using the Platform at any time.

Effects of Termination

When a therapist account is terminated or deactivated:

  • associated patients may remain on the Platform
  • assigned interventions may be suspended or no longer actively managed
  • public interventions will remain on the Platform
  • private interventions may be deleted or made inaccessible.

Data retention following termination is governed by the Privacy Policy.

We may delete or anonymise data where required for legal, security, or operational reasons.

14. PRIVACY

Use of the Platform is also governed by the Privacy Policy, which explains how personal data is collected, processed, and protected.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time.

For material changes, we will provide reasonable prior notice (e.g., at least 30 days where required by applicable law).

Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Ukraine.

If you access the Platform from another jurisdiction, mandatory local laws may also apply.

  • Consumers – retain applicable consumer protection rights under their local laws
  • Therapists – using the Platform in a professional capacity agree that these Terms apply on a business-to-business basis.

Before initiating formal proceedings, you agree to contact us at team@aphasia-vita.com and attempt to resolve the dispute informally within 30 days.
